This document details the FAIR Non - commercial Research License for the Research Materials provided by Meta. It outlines the rights and obligations of the Licensee when using these materials.

📄 License

1. Introduction

“Acceptable Use Policy” refers to the FAIR Acceptable Use Policy applicable to Research Materials, incorporated into this Agreement. “Agreement” consists of the terms and conditions for using, reproducing, distributing, and modifying the Research Materials. “Documentation” includes the specifications, manuals, and documentation accompanying the Research Materials distributed by Meta. “Licensee” or “you” represents you, your employer, or any other person/entity entering the Agreement on their behalf, with legal consent - giving ability. “Meta” or “we” means Meta Platforms Ireland Limited (if in the EEA or Switzerland) and Meta Platforms, Inc. (if outside). “Noncommercial Research Uses” are non - commercial research - related use cases not for commercial gain. “Research Materials” collectively include Documentation, models, software, algorithms, etc., distributed by Meta under this Agreement.

By clicking “I Accept” or using/distributing the Research Materials, you agree to be bound by this Agreement.

2. License Rights and Redistribution

a. Grant of Rights

You are granted a non - exclusive, worldwide, non - transferable, and royalty - free limited license under Meta’s intellectual property or other rights in the Research Materials to use, reproduce, distribute, copy, create derivative works, and make modifications.

b. Redistribution and Use

• Usage Restriction: You will not use the Research Materials or their outputs/results for commercial purposes other than Noncommercial Research Uses.
• Redistribution: Redistribution of the Research Materials and their derivative works must follow this Agreement. If you distribute them to a third party, you must do so under this Agreement and provide a copy of it to the third party.
• Publication Acknowledgment: If you publish research results related to the Research Materials, you must acknowledge their use.
• Compliance: Your use of the Research Materials must comply with applicable laws (including Trade Control Laws) and the FAIR Acceptable Use Policy.

3. User Support

Your Noncommercial Research Use of the Research Materials is at your own discretion. Meta does not process information or provide services for such use and has no obligation to offer support. Any support is “as is” without warranty.

4. Disclaimer of Warranty

Unless required by law, the Research Materials and their outputs/results are provided “as is” without warranties. Meta disclaims all warranties, including title, non - infringement, merchantability, and fitness for a particular purpose. You are responsible for determining the appropriateness of using/redistributing the Research Materials and assume associated risks.

5. Limitation of Liability

Meta and its affiliates will not be liable for any lost profits or direct/indirect, special, consequential, incidental, exemplary, or punitive damages, even if informed of the possibility.

6. Intellectual Property

a. Ownership of Derivative Works

Subject to Meta’s ownership of the Research Materials and its derivatives, you own the derivative works and modifications you make.

b. Litigation and License Termination

If you sue Meta or any entity alleging infringement by the Research Materials, outputs, or results, the licenses granted under this Agreement will terminate. You will indemnify Meta against third - party claims related to your use/distribution of the Research Materials.

7. Term and Termination

This Agreement starts upon your acceptance or access to the Research Materials and remains in effect until terminated according to its terms. Meta can terminate if you breach the Agreement. Upon termination, you must delete and stop using the Research Materials. Sections 5, 6, and 9 survive termination.

8. Governing Law and Jurisdiction

This Agreement is governed by California law without regard to choice - of - law principles. The UN Convention on Contracts for the International Sale of Goods does not apply. California courts have exclusive jurisdiction over disputes.

9. Modifications and Amendments

Meta may modify the Agreement by posting a revised version at [https://huggingface.co/facebook/Perception - LM - 8B/blob/main/LICENSE]. Changes are effective immediately. Your continued use after modification means you agree to it. Modifications must be in writing and signed by authorized representatives of both parties.

FAIR Acceptable Use Policy

The FAIR team at Meta aims to advance AI research through open research. Meta makes research materials available for non - commercial research and is committed to their safe and responsible use.

Prohibited Uses

• Illegal and Unethical Activities: You will not use the Research Materials to violate the law or others’ rights, such as engaging in violence, terrorism, child exploitation, human trafficking, sexual solicitation, or other criminal activities. You also cannot harass, abuse, discriminate, or engage in unauthorized professional practices.
• Risky Activities: You cannot use the Research Materials for activities presenting a risk of death or bodily harm, including military, warfare, nuclear, and illegal weapon - related activities.
• Deceptive Activities: You cannot use the Research Materials to deceive or mislead others, such as generating fraud, disinformation, defamatory content, or spam. You also cannot impersonate others or create false online engagement.
• Disclosure Requirement: You must appropriately disclose any known dangers of the Research Materials to end - users.
